These Terms govern your use of the Tax Reminder mobile application ("the App"), published by Pinclave. By downloading or using the App you agree to these Terms; if you don't agree, don't use the App.
1. What the App is
The App tracks United States federal and state tax filing deadlines for the taxpayer profiles, businesses, and states you configure, and reminds you ahead of each applicable deadline with local notifications. All computation runs locally on your device.
2. Deadlines can change — always verify manually
The App's deadline dataset is compiled and maintained with care, but tax deadlines change: agencies grant extensions (including disaster relief), laws are amended, and holiday calendars shift dates. The App's dates assume calendar-year taxpayers, apply simplified weekend shifting, and do not model every holiday or local rule. Always confirm important dates with the IRS, your state agency, or a professional before relying on them.
You are solely responsible for confirming every deadline that applies to you before you rely on it. To the fullest extent permitted by law, Pinclave accepts no responsibility or liability for any error, omission, inaccuracy, or out-of-date date in the App, or for any missed, late, or incorrect filing or payment — including any resulting penalties, interest, fees, or other loss. Treat the App as a helpful reminder, not a source of truth: always validate each date manually against the official IRS or state source.
3. Not professional advice
The App is informational only. Nothing in it is tax, legal, accounting, or other professional advice, and using it does not create any advisor relationship. You remain solely responsible for filing and paying your taxes correctly and on time.
4. Not affiliated with the IRS or any government agency
Tax Reminder is an independent app and is not affiliated with, endorsed by, or approved by the Internal Revenue Service, the U.S. Department of the Treasury, or any federal, state, or local government agency. References to IRS or state tax forms, form numbers, and agency names are for identification only, and no endorsement or association is claimed or implied.
5. Reminders depend on your device
Reminders are local notifications scheduled by your device's operating system. Delivery can be affected by notification permissions, focus and battery modes, device restarts, or uninstalling the App. Do not rely on the App as your only safeguard for meeting a deadline.
6. Use the App at your own risk
You use the App entirely at your own risk and on your own judgement. You acknowledge and agree that the App may contain errors, omissions, or out-of-date information; that reminders may not be delivered; and that you assume full responsibility for any decision, filing, payment, or omission you make in connection with the App. You accept that these Terms allocate the risk of using the App between you and Pinclave, and that the price of the App (if any) reflects that allocation.
7. Your data is your responsibility
Your businesses, settings, and filed/paid history are stored on your device. Unless you turn on the optional cloud backup, uninstalling the App, clearing its data, or losing or resetting your device permanently loses that data — we can't recover it because we never have a copy.
The optional cloud backup is off by default. If you switch it on, an end-to-end-encrypted copy is saved to your own Apple or Google account and may let you restore on a device signed in to that same account. Because the backup is encrypted with a key only you hold, we cannot access, restore, or recover it for you, and its availability, retention, and any restore depend on your device and your cloud provider (Apple or Google) under their terms — not on us. Keep your own records for anything important.
8. Licence and acceptable use
We grant you a personal, non-exclusive, non-transferable licence for personal or internal business use. Don't reverse engineer, resell, misuse, or use the App unlawfully.
9. Advertising, ad-free subscription, and billing
The App is free to use and, in its free version, displays banner advertisements served by Google. By using the free version you agree to receive these ads. They are personalized (interest-based) where you allow tracking: on iPhone the App asks for App Tracking Transparency permission first, and if you decline the ads are non-personalized. What advertising data is collected, and how to opt out, is set out in our Privacy Policy. We do not control the content of third-party ads and are not responsible for advertisers' products, services, or websites. An optional auto-renewing subscription removes the ads; every feature of the App is available with or without a subscription. Prices are shown in the App before you purchase and may differ by platform, region, and currency.
All payments are processed by the Apple App Store or Google Play — not by Pinclave. Payment is charged to your App Store or Google Play account when you confirm the purchase.
Your subscription renews automatically unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within the 24 hours before the period ends. You can manage or cancel your subscription at any time in your App Store or Google Play account settings; deleting the App does not cancel your subscription. Cancelling stops future renewals — access continues until the end of the period you have already paid for.
Refunds are handled by Apple or Google under their own policies; we cannot issue refunds for purchases made through their stores. We may change prices for future billing periods, with notice as required by the App Store or Google Play. If a subscription lapses, ads return; the businesses and history you saved remain on your device.
10. Disclaimer of warranties
To the maximum extent permitted by law, the App is provided "as is" and "as available", with all faults and without warranties or conditions of any kind, whether express, implied, or statutory. Pinclave expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement, and disclaims any warranty that deadline information is accurate, complete, or current, that the App will be uninterrupted or error-free, or that reminders will be delivered. No advice or information you obtain from the App or from us creates any warranty not expressly stated here.
11. Limitation of liability
To the maximum extent permitted by law, Pinclave and its owners, employees, and suppliers will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business, or for any tax penalties, interest, fees, fines, or other costs arising out of or relating to a missed, late, mis-dated, or incorrect filing or payment — in each case whether the claim is based on contract, tort (including negligence), statute, or any other theory, and even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the App or these Terms will not exceed the greater of (a) the total amount you actually paid Pinclave for the App in the twelve months before the event giving rise to the claim, or (b) USD 25. Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you; in that case our liability is limited to the smallest amount permitted by law.
12. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Pinclave and its owners, employees, and suppliers from and against any claims, demands, losses, liabilities, penalties, interest, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the App, your reliance on any information in it, your tax filings or payments, your breach of these Terms, or your violation of any law or the rights of any third party.
13. Dispute resolution — arbitration and class-action waiver
Please contact us first at support@pinclave.com so we can try to resolve any concern informally; most issues can be settled that way.
To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to the App or these Terms that is not resolved informally will be resolved by final and binding individual arbitration, rather than in court, under the rules of a recognised arbitration body in the jurisdiction in which Pinclave is established. You and Pinclave agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, and you waive any right to a jury trial. Where binding arbitration or a class-action waiver is not permitted by law, this section does not apply to the extent prohibited, and such disputes will proceed in the courts identified below.
14. Governing law and jurisdiction
These Terms are governed by the laws of the jurisdiction in which Pinclave is established, without regard to conflict-of-laws rules, and, subject to the section above, you submit to the exclusive jurisdiction of the courts of that place. Nothing in these Terms removes any mandatory consumer-protection rights you have under the laws of your own country that cannot be waived by agreement.
15. Severability, entire agreement, and no waiver
If any provision of these Terms is held unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions stay in full force. These Terms are the entire agreement between you and Pinclave about the App and supersede any prior understanding. Our failure to enforce any provision is not a waiver of it.
16. Changes and termination
We may suspend, discontinue, or change the App, or update these Terms, at any time. Your continued use after changes take effect means you accept the updated Terms. You may stop using the App at any time by uninstalling it.
